Terms of service
Last updated: [insert date]Deutsche Fassung
1. Provider and scope
These terms apply to the use of the software "LabelRally" provided by [company name, address] ("we"). They apply to businesses and consumers; provisions marked as applying to consumers only protect consumers within the meaning of Section 13 BGB (German Civil Code). Deviating terms of users only apply if we expressly agree to them.
2. Services
LabelRally is web-based planning and organisation software for music releases (software as a service). Depending on the plan it includes in particular release and marketing planning, calendar, tasks and comments, media library, team workspaces, campaigns and budgets, social media planning, Content Studio, smart links and link-in-bio pages, a fan e-mail list, streaming statistics, an AI writing help and internal reports. The exact scope follows from the plan overview on the pricing page at the time the contract is concluded.
LabelRally does not deliver music to streaming services, does not publish content automatically on social networks, does not send newsletters to fans and does not run ads. Statistics come from third-party interfaces or files you import; we do not guarantee their accuracy.
3. Account
Using LabelRally requires an account with a valid e-mail address. Keep your login details secret. The owner of a workspace decides whom to invite and which role (admin, editor, viewer) members get, and is responsible for their use.
4. Free trial
New accounts can try LabelRally for 7 days free of charge without entering payment details. The trial ends automatically; no paid subscription is created unless you book a plan yourself. After the trial your data stays readable; new entries require a plan.
5. Prices and payment
The prices on the pricing page at the time of booking apply. Plans are billed monthly or yearly in advance via Stripe. The prices shown include statutory VAT where applicable; for businesses outside Germany with a valid EU VAT ID the reverse-charge procedure may apply. [Check whether prices for businesses should be shown net.] Invoices are available in the billing portal.
If a payment fails, we inform you by e-mail; Stripe retries the payment. If payment is still not made, we may restrict access to read-only. Your data is kept.
6. Changing plans
You can change your plan or billing period at any time. The prorated price difference is charged immediately; when you switch to a cheaper plan the difference is credited against future invoices. If you exceed the limits of a smaller plan, nothing is deleted – you just can't add more entries of that kind until you are below the limit.
7. Term and cancellation
Subscriptions renew automatically for the chosen period (month or year) unless cancelled beforehand. You can cancel at any time with effect from the end of the current billing period – in the app under Settings → Billing → "Manage billing". Periods already paid are not refunded pro rata unless the law requires otherwise. After the end the workspace stays readable; data is not deleted automatically. We may terminate the contract with [30 days'] notice to the end of a billing period; the right to terminate for good cause remains unaffected. Without signing in you can also cancel via the "Cancel contracts here" button, which is linked at the bottom of every page.
8. Right of withdrawal for consumers
Right of withdrawal. You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day the contract is concluded. To exercise your right of withdrawal, you must inform us ([company name, address, e-mail]) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or an e-mail). You may use the model withdrawal form below, but it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal. If you withdraw from this contract, we shall reimburse to you all payments received from you without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated to us your withdrawal from this contract, in comparison with the full coverage of the contract.
Model withdrawal form (complete and return this form only if you wish to withdraw from the contract):
– To [company name, address, e-mail]:
– I/We (*) hereby give notice that I/We (*) withdraw from my/our (*) contract for the provision of the following service: LabelRally subscription [plan]
– Ordered on (*)
– Name of consumer(s)
– Address of consumer(s)
– Signature of consumer(s) (only if this form is notified on paper)
– Date
(*) Delete as appropriate.
When booking a plan, consumers expressly request that we start providing the service immediately, i.e. before the end of the withdrawal period. The free trial is not affected by the right of withdrawal, as it is free of charge. [Have a lawyer review this section; it follows the statutory model notice for services.]
9. Your content
All content you store in LabelRally remains yours. You only grant us the rights we need to run the service (storing, displaying, backing up, transmitting to features you use). You only upload content and publish pages you have the necessary rights to, without violating laws or third-party rights (e.g. copyright, trademark and personality rights). You can export your data at any time.
10. Public pages and fan e-mail list
You are responsible for the content of published smart links and link-in-bio pages, including any mandatory legal information of your own. If you use the fan e-mail list, you are the controller for the collected addresses under data protection law, must provide your own privacy policy and may only use the addresses within the scope of the consent given.
11. AI writing help
Texts from the AI writing help are automatically generated suggestions. They may be inaccurate or affect third-party rights; check them before use. Usage is limited per plan and month (see pricing page). Do not enter sensitive data about other people.
12. Prohibited use
Prohibited in particular: unlawful content, spam, circumventing limits or security measures, automated mass requests, spying on other workspaces and any use that disrupts operation. In case of violations we may block content or restrict access temporarily or permanently.
13. Availability and changes
We aim for high availability but do not owe a specific availability unless expressly agreed (e.g. in the Enterprise plan). We announce maintenance in advance where possible. We keep developing LabelRally and may change features as long as the agreed core of the service is preserved and the change is reasonable for you.
14. Support
You can ask questions via "Help & support" in the app or the contact form. We reply as soon as possible; fixed response times only apply if agreed separately.
15. Liability
[Liability clause – have a lawyer draft this (intent/gross negligence, essential obligations, liability cap for businesses, data loss).]
16. Data protection and data processing
How we process personal data is described in the privacy policy. The data processing agreement applies to personal data in your workspaces: [link/annex DPA].
17. Changes to these terms
We will notify you of changes by e-mail at least [6 weeks] before they take effect. If you do not object within this period, the changes are deemed accepted; we will point out this consequence in the notice. If you object, either party may terminate the contract as of the date the change takes effect. [Check admissibility towards consumers.]
18. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods; towards consumers only insofar as this does not deprive them of mandatory protection under the law of their country of residence. Place of jurisdiction for merchants is [place]. Should a provision be invalid, the rest remains valid. We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board. [Check.] In case of doubt, the [German/English] version prevails. [Decide.]
